Subscription Agreement

carefully before using this website.
LEGAL NOTICE, DISCLAIMER, AND TERMS
OF USE
S.U.R.E.
Vinyl & Digital Music Pool is a legitimate music marketing company, known
as a Record Pool and operated by it parent company Spinners Unlimited Recording
Enterprises, Inc (referred to as S.U.R.E.) S.U.R.E. provides an internet-based
DJ music pool for the purpose of distributing to its members, sound recordings
and related information for promotional distribution to assist the record labels, marketing companies and recording artists in
making the music consumers aware of new musical release.
This
subscription agreement serves as a legal and binding agreement between S.U.R.E.
and the subscribing member DJ’s. By joining you accept this agreement and agree
to abide to all the conditions listed. If you do not agree with the terms and
conditions of the agreement, do not register.
REQUIREMENTS
S.U.R.E.
(New York City’s Foremost Vinyl & Digital Music Pool) provides professional
DJ’s with promotional internet music subscription service for downloading music
in the MP3 format. To become a member of S.U.R.E. you must be 18 years old, a
Nightclub, Radio, Mobile or CD DJ.
For
a monthly fee, the subscription plan grant members the right to weekly download
over 80 new MP3’s releases from S.U.R.E.’s website. To enrollment, complete the
service registration form on our website at http://www.surerecordpool.com.
You
agree to provide truthful information about yourself as requested in the
service registration application. Upon being accepted into membership, you will
receive an identification number and pass word. Only you have the right to
access downloading services using your ID and password. Each member is
responsible for the protection and confidentiality of their personal password.
USE OF MATERIAL ON THE S.U.R.E WEB
SITE
By
accepting this agreement, it is acknowledge and agree that the copy right to
songs downloaded from S.U.R.E. website belong to the record label and or
recording artists and you have no right to share any files obtained through
S.U.R.E. to any other party, P2P sites or through any other means. You agree
not to reproduce, retransmit, sell, distribute, make available to third parties
and / or circulate the music received through S.U.R.E. to anyone or to make use
of content for commercial or noncommercial purposes not intended by this
Agreement.
You
agree to indemnify S.U.R.E. for your failure to comply with the aforementioned.
Members are only permitted to make copies of downloads from S.U.R.E. for their
own personal use. Content downloaded from S.U.R.E. is for promotional use and
play only. The material available through the service is the property of the
S.U.R.E. or its licensors and is protected by copyright and other property
laws.
You
acknowledge S.U.R.E. retains exclusive ownership of the service and all property
rights to the service. You are not granted any rights or license to patents,
copyrights, trade secrets or trademarks with respect to the service. S.U.R.E.
reserves all rights and is protected by copyright laws.
S.U.R.E.
reserves the right to without delay cease your right of entry to the service if
S.U.R.E. believes that you are violating copyrights restriction. You agree that
S.U.R.E. may terminate your ID, password, account (or any part thereof) or use
of the service for any reason, including, without limitation or notice, if
S.U.R.E. believes that you have violated any section of this agreement. In
addition, you agree that S.U.R.E. shall not be liable to you or any third-party
for any termination of your access to the service.
Members
Obligation
You agree to notify S.U.R.E.
of any unofficial use of their account. Each member is completely responsible
for all activities that appear under their account.
You
agree to provide S.U.R.E with personal charts and feedback on product serviced.
The DJ reporting section on the website is provided for DJ’s to submit weekly
reports. Members that fail to supply reports will face termination. Upon
receiving feedback, the information is complied and serviced to the labels for
their marketing and promotional activities.
You
agree to report to S.U.R.E. any changes in work schedule, DJ employment status,
change of venue and personal contact information.
Any
violation or non-adherence to the above policies may result in termination of
active membership status.
Monthly
Dues PAYMENTS
By
accepting membership into S.U.R.E., you agree to monthly pay membership dues.
Each month during your membership, the monthly fee for service will be
automatically billed to your credit card you have listed with Paypal upon subscribing for
service. All fees and charges are nonrefundable. To stop monthly deduction from
your credit card notify Paypal of your decision to terminate.
If you wish to designate a different credit card or there is a change in credit card validity
or expiration date, contact surenyrecordpool@aol.com for directions.
You
agree to pay the Record Pool all attorney's fees and costs incurred by S.U.R.E.
to collect any past due amounts. Your account can be deactivated without notice
if payment is past due. You agree to pay any outstanding balance in full within
thirty (30) days of cancellation or termination of your service account.
S.U.R.E.
will provide notice of billing changes by posting information in DJ’s only
section of the website or by way of e-mail. If change is unacceptable to you,
you may terminate your subscription. Your continued use of S.U.R.E. services
following the assigned date of change to new rates and or billing methods
constitute your acceptance of the changes.
TERMINATION
You
as a member can terminate your subscription to the service at any time.
However, termination will start at the beginning of the next billing cycle. Any
payment in advance for future service is nonrefundable.
DISCLAIMER OF WARRANTY
The services, information or data (collectively,
"Information") made available at the S.U.R.E. Web site are provided
"AS IS", without warranties of any kind. S.U.R.E. shall have
absolutely no liability in connection with the services including without
limitation, any liability for damage to your computer hardware, data,
information, Materials and business resulting from the Information or the lack
of information available on the S.U.R.E. Web site.
S.U.R.E.
shall have no liability for
S.U.R.E.
makes no representation, warranty, or guaranty as to the content, sequence, accuracy,
timeliness or completeness of the Information or that the Information may be
relied upon for any reason. S.U.R.E. and its divisions, subsidiaries,
successors, parent companies, and their employees, partners, principals, agents
and representatives, and any third-party providers or sources of information or
data, makes no warranty, representation or guaranty that the Information will
be uninterrupted or error free or that any defects can be corrected.
LIMITATION OF LIABILITY
Under no circumstances shall. S.U.R.E. and its divisions,
subsidiaries, successors, parent companies, and their employees, partners,
principals, agents and representatives, and any third-party providers or
sources of information or data be liable for any losses or damages whatsoever,
whether in contract or otherwise, from the use of, or reliance on, the
Information, or from the use of the Internet generally.

Agreement is governed by the laws of the State of New York, U.S.A., without
regard to its conflicts of law provisions; and you hereby consent to the
jurisdiction of and venue in the federal and state courts located in Bronx, New
York, U.S.A. in all disputes arising out of or relating to the service. In
addition, you hereby consent to the exclusive jurisdiction of and venue in such
courts for any action commenced by you against us (or our affiliates). Use of
the service is unauthorized in any jurisdiction that does not give effect to
all provisions of these terms and conditions, including without
limitation. You shall not use the
service in any manner contrary to local, state or federal law. S.U.R.E.
expressly disclaims any and all responsibility or liability for any action by
you that is contrary to such law(s) by you and reserves the right to terminate
your service immediately upon notice for your failure to comply with any such
local, state or federal law. Our performance of this Agreement is subject to
existing laws and legal process, and nothing contained in this Agreement is in
derogation of our right to comply with governmental, court and law enforcement
requests or requirements relating to your use of the service or information
provided to or gathered by us with respect to such use. This Agreement
constitutes the entire agreement between you and us with respect to the service
and it supersedes all prior or contemporaneous communications and proposals,
whether electronic, oral or written, between you and us with respect to the
service. A printed version of this Agreement and of any notice given in
electronic form shall be admissible in judicial or administrative proceedings
based upon or relating to this Agreement to the same extent and subject to the
same conditions as other business documents and records originally generated
and maintained in printed form.

S.U.R.E.'s control, and S.U.R.E. does not assume any responsibility or
